The upgrade will benefit photographers who shoot RAW images, especially in wide dynamic range mode, the most. It costs 240 and will improve the camera buffer depth as follows:

Wide dynamic range mode:
  • RAW - 8 images (upgraded from 3 images)
  • JPEG - 33 images (upgraded from 12 images)
Normal dynamic range mode:
  • RAW - 17 images (upgraded from 7 images)
  • JPEG - 33 images (upgraded from 12 images)
Fuji S3 Pro owners who are interested in the upgrade should contact the Fuji UK technical department by telephoning 0870 084 1310.

240 to make it the camera that it should have been 8 months ago! These issues were raised by pro's testing the camera before release, yet Fuji decided to release it anyway. The least they could do is offer the upgrade for free.

For the price including the upgrade why not just by a D200?

I do think that 240 is more than a bit steep. Yes OK, I knew there was a lag when recording to disk before I bought the camera but having used it for some months now I realise how truly frustrating it can be !
